Registered agent requirements in Arkansas

Arkansas is a Model Registered Agents Act state, so instead of scattering agent rules across each entity statute, it centralizes them in Title 4, Chapter 20 of the Arkansas Code. Ark. Code Ann. § 4-20-105 requires every represented entity - LLCs under the Uniform Limited Liability Company Act of 2021, corporations under the Business Corporation Act of 1987, and the rest - to designate and maintain a registered agent, and § 4-20-104 requires the agent’s Arkansas street address on file. The agent may be a resident individual or an authorized entity, and Arkansas distinguishes commercial registered agents, which register once with the Secretary of State and can update every client entity in a single filing, from noncommercial agents like an owner serving personally.

Formation is cheap by any standard: a Certificate of Organization or Articles of Incorporation costs $50 on paper and drops to $45 through the Secretary of State’s online Business and Commercial Services portal. Uniquely generous, a statement of change of registered agent files for no fee at all, so correcting a stale appointment costs nothing but attention.

The recurring obligation wears a tax label rather than a report label. Under the Arkansas Corporate Franchise Tax Act, every LLC and corporation registered in the state files an annual franchise tax report with the Secretary of State by May 1. LLCs owe a flat $150; corporations owe 0.3% of their outstanding capital stock with a $150 floor, and corporations without authorized stock pay $300. Penalties and interest start accruing after May 1, and an entity that keeps ignoring the obligation faces revocation of its charter or its authority to transact business, after which reinstatement means paying every missed year plus penalties.

Because the franchise tax notice, service of process, and revocation warnings all route through the registered agent, a lapsed or inattentive agent is usually the first domino in an Arkansas compliance failure. Keeping a permanent in-state agent address means the May 1 reminder actually reaches someone who acts on it. FreeRegisteredAgent.com provides the first year of Arkansas registered agent service free through InCorp, then $129/yr.

Arkansas registered agent FAQ

Can I be my own registered agent in Arkansas?
Yes. Arkansas adopted the Model Registered Agents Act, and under Ark. Code Ann. § 4-20-105 any Arkansas entity may appoint an individual resident or an authorized entity with an Arkansas street address as its noncommercial registered agent. You must be available at that address during business hours to receive service of process.
What is Arkansas franchise tax and is it the same as an annual report?
Arkansas combines them. Every LLC and corporation files an annual franchise tax report with the Secretary of State by May 1. LLCs pay a flat $150; corporations pay 0.3% of outstanding capital stock with a $150 minimum. Miss May 1 and penalties and interest accrue, and continued nonpayment leads to revocation of the entity's charter or authority.
How much does it cost to change a registered agent in Arkansas?
Nothing. Under the Model Registered Agents Act fee schedules, a statement of change of registered agent files for no fee in Arkansas - one of the few states where switching agents is free.
What happens if my Arkansas LLC has no registered agent?
Service of process can then be made on the Secretary of State, who collects $25 each time, and you may never see the papers in time to respond. An entity that cannot receive notices also risks missing the franchise tax deadline, which triggers charter revocation.
How much does a registered agent cost in Arkansas?
Commercial registered agents typically charge $100 to $300 per year. FreeRegisteredAgent.com provides your first year of Arkansas registered agent service free through InCorp, then $129 per year after that.
