Registered agent requirements in Illinois
Illinois writes its registered agent mandate into each entity act separately: 805 ILCS 5/5.05 of the Business Corporation Act of 1983 requires every domestic and authorized foreign corporation to keep a registered agent and registered office in the state, and 805 ILCS 180/1-35 imposes the same duty on LLCs under the Limited Liability Company Act. The agent must be either an individual Illinois resident or an entity authorized to act as agent, and the registered office - which must appear identically in the agent’s records and the state’s - has to be a physical Illinois street address.
Filings are handled by the Department of Business Services within the Illinois Secretary of State’s office, which accepts most core documents online at ilsos.gov. An LLC’s Articles of Organization cost $150 flat. Corporations pay the same $150 filing fee plus an initial franchise tax computed on paid-in capital, with a $25 minimum, so incorporating starts at $175. That franchise tax is the state’s signature quirk: it follows corporations every year of their existence, calculated on paid-in capital and paid with each annual report, while LLCs escape it entirely. Routine processing takes on the order of 10 business days; the impatient can hand-deliver documents in Springfield or Chicago with a $100 expedited fee for 24-hour turnaround.
Annual reports are anniversary-based rather than fixed-date - due before the first day of the month in which the entity was originally formed. LLCs pay $75; corporations pay $75 plus their franchise tax. Miss the deadline and penalties accrue, and continued delinquency leads the Secretary of State to administrative dissolution for domestic entities or revocation for foreign ones. Since the reminder notices and any service of process route through the registered agent, companies with an unreliable agent tend to discover a dissolution only when a bank or counterparty flags their standing.
FreeRegisteredAgent.com keeps Illinois companies ahead of those anniversary deadlines: InCorp serves as your Illinois registered agent free for the first year, then $129 per year, with compliance alerts included.
Illinois registered agent FAQ
- Can I act as my own registered agent in Illinois?
- Yes. Under 805 ILCS 5/5.05 and 805 ILCS 180/1-35, the agent may be an Illinois resident individual or a company authorized to act as agent, with a registered office at a street address in Illinois. Many owners appoint themselves, though the address becomes public record.
- What is the Illinois franchise tax and does it apply to LLCs?
- The franchise tax is an annual levy on corporations measured by paid-in capital, collected with the corporate annual report. It applies only to corporations - Illinois LLCs pay a flat $75 annual report fee and no franchise tax, one reason many small Illinois businesses choose the LLC form.
- What happens if my Illinois company has no registered agent?
- The Secretary of State can administratively dissolve a corporation or LLC that fails to maintain a registered agent and office, and the state can complete service of process through the Secretary of State instead, so litigation may proceed without the company's direct knowledge.
- How much does a registered agent cost in Illinois?
- Commercial registered agents in Illinois generally charge $100 to $300 per year. Through FreeRegisteredAgent.com, InCorp provides the first year of Illinois registered agent service free, then $129 per year.
