Every corporation and LLC formed or registered in Georgia must continuously maintain a registered office and registered agent in the state. For corporations the requirement comes from O.C.G.A. § 14-2-501; for limited liability companies it is O.C.G.A. § 14-11-209, which directs that each LLC “shall continuously maintain in this state” both a registered office and an agent at that office. The agent may be an individual Georgia resident, a domestic corporation or LLC, or a foreign entity authorized to transact business in Georgia, and the registered office must be a street address where the agent can actually be found - a mail drop will not do.
Filings go through the Georgia Secretary of State’s Corporations Division, most efficiently through its eCorp online portal (ecorp.sos.ga.gov). Under the fee schedule effective September 6, 2025, articles of organization or incorporation cost $100 plus a $10 service charge. Online submissions are typically reviewed in about 7 business days versus roughly 15 for paper, with two paid shortcuts: $120 for 2-business-day handling or $275 for same-day processing when submitted before noon. Georgia adds one step most states skip - a new corporation must publish a notice of intent to incorporate in its county’s legal organ newspaper, which runs about $40.
