Registered agent requirements in New York
New York turns the usual registered agent model on its head. Rather than requiring each company to appoint an agent, the state makes its own Secretary of State the mandatory agent for service of process for every domestic and authorized foreign corporation and LLC - that is the effect of Business Corporation Law Section 304 and LLC Law Section 301. When someone sues a New York company, they can simply serve the Secretary of State in Albany, who then mails the papers to the address the company has on file. A registered agent is optional: BCL Section 305 and LLC Law Section 302 let a company designate one, and many do, because an agent with a monitored New York street address receives process directly and immediately instead of waiting on state mail routed through a possibly outdated address.
Filings run through the Department of State’s Division of Corporations. Articles of Organization for an LLC cost $200; a Certificate of Incorporation costs $125 plus a small organization tax on authorized shares with a $10 minimum. The Division processes routine work in the order received and sells speed when needed: $25 for 24-hour handling, $75 for same-day, $150 for two-hour turnaround per document.
Instead of an annual report, New York uses a biennial statement - $9, filed online during the anniversary month every two years, updating the service of process address and key contacts. It is inexpensive but easy to forget, and delinquent entities lose good standing, which surfaces at the worst times, such as loan closings.
The state’s most famous quirk is the LLC publication requirement of LLC Law Section 206. Within 120 days of formation, an LLC must publish a formation notice for six consecutive weeks in two newspapers designated by the county clerk of the county where the LLC’s office is located, then file a $50 Certificate of Publication. Costs swing wildly by county - Manhattan or Brooklyn publication can run into four figures, while rural counties cost a fraction of that - so where your designated office sits directly drives your startup cost. Noncompliance suspends the LLC’s authority to carry on business until cured.
FreeRegisteredAgent.com provides the first year of New York registered agent service free through InCorp, then $129/yr.
New York registered agent FAQ
- Does New York require a registered agent?
- Not in the way most states do. The Secretary of State is automatically the agent for service of process for every New York corporation and LLC (BCL § 304; LLC Law § 301). Appointing your own registered agent under BCL § 305 or LLC Law § 302 is optional, but it adds a monitored street address that receives process directly instead of relying solely on mail forwarded from Albany.
- What is the New York LLC publication requirement?
- Within 120 days of formation, an LLC must publish a notice in two newspapers designated by the county clerk of the county where its office is located, for six consecutive weeks, then file a $50 Certificate of Publication (LLC Law § 206). Failure suspends the LLC's authority to carry on business until it complies.
- How much does LLC publication cost in New York?
- It depends entirely on the county named in your Articles of Organization. New York City newspapers can push the total past $1,000 to $2,000, while upstate counties often run a few hundred dollars or less, which is why the county of your designated office or agent has real cost consequences.
- What is the biennial statement?
- Every corporation and LLC files a short $9 statement every two years, during its anniversary month, updating the service of process address and, for corporations, the CEO and principal office. Entities that fall behind lose good standing status.
- How much does a New York registered agent cost?
- Commercial agents typically charge $100 to $300 per year. FreeRegisteredAgent.com provides the first year free through InCorp, then $129/yr.
