Registered agent requirements in Michigan
Michigan is a resident agent state, and its filing office surprises newcomers: business documents go to the Corporations, Securities & Commercial Licensing Bureau within the Department of Licensing and Regulatory Affairs (LARA), while the Michigan Secretary of State handles drivers licenses and elections. The Business Corporation Act, MCL 450.1241, requires every corporation to maintain both a registered office and a resident agent - and the statute is picky about geography, insisting that the agent’s business or residence address be identical to the registered office address. The Michigan Limited Liability Company Act repeats the scheme at MCL 450.4207: every LLC must keep a registered office and a resident agent, who may be a Michigan individual or a domestic or authorized corporation or LLC, and the resident agent is the person on whom any process, notice, or demand against the company may be served. If the agent cannot be found with reasonable diligence, MCL 450.4207(4) lets a plaintiff serve LARA itself by registered mail - a scenario no business wants.
Formation is cheap. LLC Articles of Organization (Form 700) cost $50 flat. Corporations pay a $10 filing fee plus a share-based organization fee starting at $50 for up to 60,000 authorized shares, so most small corporations pay $60. Filings move through the Corporations Online Filing System (COFS) or on paper; the standard queue has no published turnaround, but Form 272 buys expedited review at $50 for 24-hour service, $100 for same-day, and, for genuine emergencies, $500 two-hour and $1,000 one-hour tiers.
Michigan staggers its annual deadlines by entity. LLCs file an annual statement - little more than confirming the resident agent and registered office, per MCL 450.4207(3) - by February 15 for $25, with a first-year skip for companies formed after September 30. Profit corporations file their annual report by May 15 under MCL 450.1911, also $25, but the fee climbs every month it goes unpaid until it caps at $75. Persistent non-filing pushes a corporation out of good standing and toward dissolution, and an LLC that misses two years of statements loses good standing as well.
