Registered agent requirements in Wyoming

Wyoming gathers its registered agent law into a chapter of its own, Wyo. Stat. Ann. §§ 17-28-101 through 17-28-111, which applies across every entity type. Section 17-28-101 requires each business entity to continuously maintain a registered office and registered agent in Wyoming, and the agent must sign a written consent to the appointment that is delivered with the filing - Wyoming takes agent accountability seriously enough that it also runs a formal commercial registered agent registration under §§ 17-28-105 and 17-28-106, with penalties for acting as a commercial agent without registering. The registered office must be a physical Wyoming address where the agent keeps regular business hours; a mail-forwarding storefront does not cut it.

Formation is famously cheap and fast. Articles of Organization for an LLC and Articles of Incorporation for a profit corporation each cost $100 with the Wyoming Secretary of State, and filings submitted through the state’s wyobiz.wyo.gov portal are effective as soon as payment clears, while mailed paperwork waits in the queue.

Wyoming’s annual obligation is a genuine quirk: it is a license tax, not a report fee. Under the annual report license tax provisions of title 17, chapter 2, every corporation and LLC pays the greater of $60 or two-tenths of one mill ($0.0002) on each dollar of assets located and employed in Wyoming. A holding company with no in-state assets pays the $60 minimum forever; a firm with $10 million of Wyoming assets pays $2,000. The report and tax fall due on the first day of the anniversary month each year, and an entity that lets them slide more than 60 days becomes subject to dissolution or revocation, with reinstatement paperwork and fees to recover.

Add no state corporate or personal income tax and strong LLC asset-protection features, and it is easy to see why Wyoming hosts far more entities than residents - and why nearly all of them lean on commercial registered agents to be the in-state presence the statute demands. FreeRegisteredAgent.com provides the first year of Wyoming registered agent service free through InCorp, then $129 per year.

Wyoming registered agent FAQ

What makes Wyoming's annual report a license tax?
Wyoming does not charge a flat report fee. Under the annual report license tax in Wyo. Stat. title 17, chapter 2, entities pay the greater of $60 or two-tenths of one mill ($0.0002) per dollar of assets located and employed in Wyoming - so a company with few in-state assets pays the $60 minimum.
Who can serve as a Wyoming registered agent?
Chapter 17-28 applies to every business entity: the agent must be an individual Wyoming resident or an entity authorized to do business in Wyoming with a physical Wyoming office, and the agent must consent to the appointment. Wyoming also registers commercial registered agents under §§ 17-28-105 and 17-28-106.
When is the Wyoming annual report due?
On the first day of your anniversary month every year. If the report and license tax are not paid within 60 days of the due date, the entity becomes subject to dissolution or revocation.
Why do so many companies form in Wyoming?
No corporate or personal income tax, a $100 formation fee, a $60 minimum annual license tax, strong charging-order protection for LLCs, and instant online filing make it one of the least expensive states to maintain an entity.
What does a Wyoming registered agent cost through this site?
Your first year is free through InCorp via FreeRegisteredAgent.com, then $129 per year.
