Registered agent requirements in Nevada
Nevada was an early adopter of the Model Registered Agents Act, and its version - NRS Chapter 77 - governs registered agents for every entity type in one place. NRS 77.310 requires each represented entity to appoint a registered agent, either a commercial registered agent registered with the Secretary of State under NRS 77.320 or a noncommercial agent with a physical Nevada street address. The commercial-agent system matters at Nevada’s scale: professional agents representing thousands of entities maintain a single registration, and one change filing updates every client at once. Nevada’s sticker prices need decoding, because the state bundles three filings into every formation. An LLC pays $75 for Articles of Organization, but NRS 86.263 requires the Initial List of managers or members ($150) at the same time, and NRS 76.100 requires the State Business License ($200 for LLCs) - a real minimum of $425. Corporations pay a graduated articles fee starting at $75 for up to $75,000 of authorized stock (NRS 78.760), the same $150 initial list, and a $500 business license, so $725 is the corporate floor.
The same bundle repeats annually. By the last day of its anniversary month each year, an LLC files its annual list ($150) and renews the license ($200); a corporation’s annual list is graduated on authorized stock from $150 up to $11,125 (NRS 78.150), plus the $500 license. Miss the deadline and the entity is deemed in default under NRS 78.170 or 86.272, adding a $75 list penalty and $100 license penalty; stay in default about a year and the Secretary of State revokes the corporate charter or forfeits the LLC’s right to transact business under NRS 78.175 and 86.274. Reinstatement means paying everything back with penalties, and default notices go to the registered agent of record - one more reason the agent must be reliable.
