Registered agent requirements in Nebraska
Nebraska runs its agent requirement under two vocabularies. Corporations, governed by the Nebraska Model Business Corporation Act, must continuously maintain a registered office and registered agent under Neb. Rev. Stat. § 21-233 - an individual Nebraska resident or an entity authorized to do business in the state, with a business office identical to the registered office. LLCs answer to the Revised Uniform LLC Act, which drops the traditional labels: § 21-113 requires each company to designate and continuously maintain a “designated office” and an “agent for service of process” in Nebraska. Different words, same job - a dependable in-state street address where lawsuits and state notices can be delivered.
What genuinely sets Nebraska apart is the newspaper. It is one of only a few states that still require publication: a new LLC must publish notice of its organization for three successive weeks in a legal newspaper of general circulation near its designated office and file proof of publication with the Secretary of State (§ 21-193), and a new corporation must do the same for its notice of incorporation, including its registered agent’s name and address, under § 21-2,229. The publication cost goes to the newspaper; the proof-of-publication filing costs $25 online or $30 on paper.
Formation itself is a flat $100 online or $110 in office for both entity types - Nebraska abandoned its capital-stock-based formation fees in July 2021. The state offers no expedited service and publishes no turnaround times, so filing electronically is the practical way to move quickly. Ongoing reporting runs on a biennial rhythm rather than annual: LLCs file a $25 report in odd-numbered years, due April 1 and delinquent June 16 (§ 21-125), while corporations file a biennial occupation tax report in even-numbered years, due March 1 and delinquent April 15, with the tax tiered on paid-up capital from $26 to $23,990 (§ 21-303). Missing a report, or going without an agent for service of process, leads to administrative dissolution, and the Secretary of State’s warning goes to - naturally - the agent of record.
