Registered agent requirements in New Hampshire
New Hampshire follows the Model Business Corporation Act pattern for corporations: RSA 293-A:5.01 requires every corporation to continuously maintain a registered office and a registered agent whose business office is identical with that office - an individual resident of the state or a domestic or authorized corporation. The LLC Act carries the parallel rule at RSA 304-C:36, and both chapters spell out the mechanics for changes of agent, agent resignations, and service on the company when the agent cannot be found. What makes New Hampshire refreshingly transparent is that the money is in the statute too: RSA 293-A:1.22 is a literal fee schedule enacted into law, and RSA 304-C:191 does the same for LLCs, so every figure below can be checked against the code rather than a webpage.
Formation is $100 for either entity - Articles of Incorporation under RSA 293-A or a Certificate of Formation under RSA 304-C:31 - with a $2 statutory handling charge on electronic submissions (RSA 5:10-a). Filings go through QuickStart, the Secretary of State’s online portal, and an online filing is effective on acceptance. The statute authorizes the Secretary of State to charge for expedited service, but no expedite tiers are published, and in practice QuickStart makes them largely unnecessary for routine documents.
The annual report is a fixed rhythm: every LLC and corporation files between January 1 and April 1 each year for $100, with a $50 late fee after April 1 (RSA 293-A:1.36; RSA 304-C:191). Entities formed or registered between December 1 and April 1 skip that first year’s report. The consequences of drift are written out with unusual precision in RSA 304-C: administrative dissolution follows if a company fails for two consecutive years to deliver its annual report within 60 days of the due date, or is without a registered agent or registered office for 60 days or more. Reinstatement costs $135 - but wait too long and the late reinstatement fee jumps to $500, a tenfold penalty for ignoring mail that went to a dead agent address.
That escalation is the practical argument for a professional agent: the notices that prevent a $500 problem all go to the registered office. FreeRegisteredAgent.com provides the first year of New Hampshire registered agent service free through InCorp, then $129/yr.
New Hampshire registered agent FAQ
- Who can serve as a registered agent in New Hampshire?
- Under RSA 293-A:5.01 a corporation's registered agent may be an individual New Hampshire resident, or a domestic or authorized foreign corporation, whose business office is identical with the registered office. RSA 304-C:36 applies the same requirement to LLCs. The office must be a physical New Hampshire address.
- When is the New Hampshire annual report due?
- Every domestic and registered foreign LLC and corporation files between January 1 and April 1 each year, for $100. File after April 1 and RSA adds a $50 late fee. A company formed or registered between December 1 and April 1 skips the report for that first partial year.
- What happens if my New Hampshire LLC stops filing or loses its agent?
- RSA 304-C sets clear triggers: administrative dissolution follows if the company fails for 2 consecutive years to deliver its annual report within 60 days of the due date, or goes 60 days or more without a registered agent or registered office. Reinstatement costs $135, and a late reinstatement runs $500.
- Are New Hampshire's fees set anywhere I can verify?
- In the statutes themselves - unusual among states. RSA 293-A:1.22 is a line-item fee schedule for corporations ($100 articles, $100 annual report, $15 for a registered agent change) and RSA 304-C:191 does the same for LLCs, so the numbers are checkable directly against the law.
- How do I get a free registered agent in New Hampshire?
- FreeRegisteredAgent.com provides your first year of New Hampshire registered agent service free through InCorp, then $129 per year after that.
