Registered agent requirements in Mississippi
Mississippi consolidated its registered agent rules into a single modern statute, the Mississippi Registered Agents Act, codified at Miss. Code Ann. §§ 79-35-1 through 79-35-19 within Title 79. Under § 79-35-5, every corporation, LLC, and other represented entity must make a registered agent filing that names either a commercial registered agent already listed with the Secretary of State or a noncommercial agent with a Mississippi address and, notably, an email address - Mississippi is one of the states whose statute expressly requires electronic contact information for noncommercial agents. The Act also adopts the model framework for commercial agent listings, agent resignations, and statements of change, so a professional agent can update its address once and cover every entity it represents under § 79-35-8.
The filing office is the Mississippi Secretary of State, and the state has committed harder to electronic filing than most of its neighbors. Certificates of Formation for LLCs and Articles of Incorporation both carry a flat $50 fee, filed through the online business services system.
