Registered agent requirements in Missouri
Missouri splits its registered agent law by entity type: RSMo 351.370 requires every corporation to continuously maintain a registered office and a registered agent whose business office is identical with that office, and RSMo 347.030 imposes the same duty on limited liability companies. The agent may be an individual resident of Missouri or a corporation authorized to transact business there, and the registered office must be a physical street address in the state. The pairing rule is strict - the agent’s address and the registered office must match - so a mail drop or out-of-state manager’s address will not satisfy the statute.
Formation runs through the Missouri Secretary of State, with a strong price incentive to use the online business portal: LLC Articles of Organization cost $50 online versus $105 on paper. Corporation fees are capital-based rather than flat, starting at a $58 minimum for up to $30,000 of authorized capital and climbing $5 for each additional $10,000. Missouri publishes no standard processing times and offers no expedited service at any price, which makes it an outlier; in practice, online submissions process much faster than mailed documents.
Missouri’s best-known quirk is what it does not require. LLCs file no annual report - none, ever - leaving registered agent maintenance as essentially the only recurring state obligation for a Missouri LLC. Corporations, by contrast, file an annual registration report under RSMo 351.120 for $20 online or $45 on paper, due by the end of the corporation’s anniversary month, with an optional biennial election at double the fee. Lateness costs $15 per 30-day period, and persistent failure to file, or operating without a registered agent, leads to administrative dissolution under RSMo 351.484 and 351.486. Reinstatement is possible but requires curing every deficiency and paying accumulated fees.
