Registered agent requirements in New Mexico
Registered agent requirements in New Mexico
New Mexico requires every LLC to continuously maintain a registered office in the state and a registered agent at that office under NMSA 1978, Section 53-19-5, and every business corporation to do the same under Section 53-11-11. The agent - an individual resident or an authorized entity with a New Mexico business office - is the company’s statutory point of contact for service of process, and the registered office must be a physical location, not just a mail drop. If the agent resigns or the office address changes, a statement of change has to be filed with the Secretary of State, with a modest $20 to $25 fee depending on entity type.
Filings go through the New Mexico Secretary of State’s Business Services division, using the online Business Portal at enterprise.sos.nm.gov. Formation is notably cheap: Articles of Organization for an LLC cost $50 under Section 53-19-63, while corporate Articles of Incorporation are priced at $1 per 1,000 authorized shares with a $100 floor and $1,000 cap.
The state’s signature quirk is what happens after formation - for LLCs, almost nothing. New Mexico imposes no annual report and no recurring maintenance fee on LLCs, a regime shared by only a couple of other states. Corporations do report, on a biennial cycle: an initial corporate report is due within 30 days after the certificate of incorporation issues, and thereafter a $25 biennial report is due by the 15th day of the fourth month following the end of the corporation’s fiscal year (Section 53-5-2), with a late penalty of $200 for corporations that miss it. A corporation that ignores its reports and fees long enough faces administrative revocation of its certificate.
New Mexico also has a reputation as a privacy-friendly formation state. The LLC formation record does not list members or managers publicly, and because there is no annual report, that information never gets swept into a later public filing. The practical consequence is that the registered agent’s name and street address do a lot of public-facing work for a New Mexico company, so choosing a stable professional agent matters more here than in most states.
FreeRegisteredAgent.com provides the first year of New Mexico registered agent service free through InCorp, then $129/yr.
New Mexico registered agent FAQ
- Does a New Mexico LLC have to file an annual report?
- No. New Mexico LLCs file no annual or biennial report and pay no recurring state maintenance fee, which is one of the lowest ongoing compliance burdens in the country. Profit corporations, by contrast, file a $25 biennial corporate report.
- Who can serve as a registered agent in New Mexico?
- An individual New Mexico resident or a domestic or qualified foreign corporation or LLC with a business office in the state. The agent must maintain a physical New Mexico street address that matches the registered office (NMSA 1978, §§ 53-19-5, 53-11-11).
- Why do people call New Mexico LLCs private?
- The Articles of Organization do not require member or manager names to be listed on the public record, and with no annual report there is no later filing that forces disclosure. The registered agent's name and address are the main public contact points, which makes a professional agent especially useful.
- How much does a New Mexico registered agent service cost?
- Typical commercial rates run $100 to $300 per year. FreeRegisteredAgent.com provides the first year free through InCorp, then $129/yr.
