Maine is the state where your registered agent might be called a clerk. Its Model Registered Agents Act, codified at 5 M.R.S. Chapter 6-A, governs agents for every entity type, and 5 M.R.S. § 105 addresses the “appointment of clerk or registered agent” - business corporations under Title 13-C historically appoint a clerk, while LLCs under 31 M.R.S. Chapter 21 and other entities appoint a registered agent, with both roles functionally identical. The Act further distinguishes commercial clerks and commercial registered agents, professional agents that file a listing statement with the Secretary of State, from noncommercial ones such as an owner or attorney serving a single company. Whoever serves must maintain a physical Maine location where process can be delivered.
Filings go to the Bureau of Corporations, Elections and Commissions within the Maine Department of the Secretary of State in Augusta. Maine remains largely a paper-filing state for formations: an LLC’s Certificate of Formation (Form MLLC-6) costs $175 and a corporation’s Articles of Incorporation (Form MBCA-6) cost $145, submitted by mail or delivery, with expedited 24-hour and immediate-service options available for extra fees. Annual reports, by contrast, can be filed through the state’s Annual Report Online service.
Every Maine entity files that annual report between January 1 and June 1 each year - $85 for domestic entities, $150 for foreign ones. Miss June 1 and a late penalty attaches; keep ignoring it, or fail to maintain your clerk or registered agent, and the Secretary of State moves to administrative dissolution for domestic entities or revocation for foreign ones. Since statutory notices are delivered to the agent of record, companies whose clerk has retired, moved, or simply stopped answering mail are the ones that discover a dissolution after the fact.
