Registered agent requirements in Connecticut

Connecticut splits its registered agent rules between two acts that say nearly the same thing. Conn. Gen. Stat. § 33-660, in the Connecticut Business Corporation Act, requires every corporation to continuously maintain a registered agent in the state, while Conn. Gen. Stat. § 34-243n does the job for LLCs under the Connecticut Uniform Limited Liability Company Act. The agent may be a Connecticut resident individual, an authorized domestic or foreign entity, or - unusually - the Secretary of the State herself, and every appointment requires the agent’s signed acceptance. Whichever form the agent takes, there must be a Connecticut street address where process can actually be served.

The state consolidated its business interactions into Business.CT.gov, a one-stop portal that handles formation, annual reports, and address changes, and it expects you to use it: annual reports can only be filed online. Formation costs $120 for an LLC Certificate of Organization, while a stock corporation’s Certificate of Incorporation runs $250 because Connecticut folds the initial franchise fee, keyed to authorized shares, into the charter filing.

Annual reports follow a two-track calendar that catches multi-entity owners off guard. Every LLC files between January 1 and March 31 for $80, a fixed season regardless of when the company formed. Stock corporations instead file by their formation anniversary date for $150, with the Secretary of the State emailing a reminder 30 days out. Falling behind has teeth: an overdue report makes the entity ineligible for a certificate of legal existence, and persistent silence draws a notice of intent to dissolve followed by administrative dissolution - § 34-267a for LLCs, § 33-890 for corporations - or revocation of a foreign entity’s registration. Climbing back means reinstatement filings and every missed report and fee.

Between the online-only mandate, the split calendars, and the acceptance-of-appointment formality, Connecticut rewards businesses whose registered agent treats compliance as a job rather than a favor. FreeRegisteredAgent.com provides the first year of Connecticut registered agent service free through InCorp, then $129/yr.

Connecticut registered agent FAQ

Can I be my own registered agent in Connecticut?
Yes. Conn. Gen. Stat. § 34-243n lets a Connecticut LLC appoint an individual resident, an authorized entity, or even the Secretary of the State as agent, and § 33-660 gives corporations the same options. The agent must have a Connecticut business or residence street address and must sign a written or electronic acceptance of the appointment.
When is the Connecticut annual report due?
It depends on the entity. LLC annual reports are due in a fixed window from January 1 to March 31 every year and cost $80. Stock corporations file by the anniversary date of their formation and pay $150. All annual reports must be filed online through Business.CT.gov, and the state emails a reminder 30 days ahead.
What happens if my Connecticut LLC skips its annual report?
An overdue report blocks your certificate of legal existence, and the Secretary of the State can administratively dissolve the LLC under Conn. Gen. Stat. § 34-267a or dissolve a corporation under § 33-890 after issuing a notice of intent. Reinstatement requires filing the missed reports and paying accumulated fees.
Why is Connecticut's corporation filing fee so much higher than the LLC fee?
The $250 Certificate of Incorporation charge bundles the corporation's initial franchise fee, which is tied to authorized shares, on top of the base filing fee. LLCs have no franchise component, so a Certificate of Organization is a flat $120.
How much does a registered agent cost in Connecticut?
Commercial registered agents usually charge $100 to $300 per year. FreeRegisteredAgent.com provides your first year of Connecticut registered agent service free through InCorp, then $129 per year after that.
