Oregon writes its registered agent requirement into each entity chapter of the Revised Statutes: ORS 60.111 obligates every domestic and authorized foreign corporation, and ORS 63.111 every LLC, to continuously maintain a registered agent whose street address in Oregon is also the registered office. The agent may be an Oregon resident individual or an entity authorized to transact business in the state, and the point of the arrangement is service of process - a plaintiff or the state serves the agent, and the company is bound. Helpfully, Oregon charges nothing to change a registered agent or office, so there is no financial excuse for a stale record.

Filings are handled by the Corporation Division of the Oregon Secretary of State through the Oregon Business Registry, an online system that covers formations, renewals, amendments, and agent changes. Formation pricing is flat and symmetrical: $100 for LLC Articles of Organization and $100 for Articles of Incorporation, with all fees payable in advance and nonrefundable.

Oregon’s ongoing regime is an anniversary-based annual renewal rather than a fixed-date report. Each domestic LLC and corporation renews annually on its anniversary date for $100 (foreign entities pay $275), and the Corporation Division sends a renewal notice to the entity ahead of the deadline - one more piece of mail that flows through the addresses on file. The consequence for ignoring it is quick by national standards: under ORS 60.647 and 63.647, the Secretary of State may administratively dissolve an entity that has not filed its annual report within 45 days after the due date, or that has been without a registered agent for 45 days. Reinstatement is available within five years of dissolution, but it requires curing the default, and the dissolution itself remains visible in the public record that lenders and counterparties search.
