Oklahoma’s business entity law lives almost entirely in Title 18 of the Oklahoma Statutes, and both of its major acts require an in-state agent. Under the Oklahoma General Corporation Act, every corporation must maintain a registered agent in the state - which may be the corporation itself acting through an in-state office, an Oklahoma resident, or an authorized entity - at a physical Oklahoma address (18 O.S. Section 1022). The Oklahoma Limited Liability Company Act imposes the parallel duty on LLCs through 18 O.S. Section 2010, requiring a registered office and a registered agent at that office. The agent’s job is statutory: accept service of process, notices, and demands on the company’s behalf, so the address must be staffed during business hours, not a P.O. box.
Formation filings go to the Oklahoma Secretary of State, which accepts most entity documents through its online filing system. An LLC’s Articles of Organization cost $100 flat. Corporations pay on a capital-based scale that is now rare among states: one-tenth of one percent of authorized capital, with a $50 minimum, so a modest authorized capitalization keeps the Certificate of Incorporation at the floor.
Ongoing compliance is light and recently got lighter. LLCs file a $25 annual certificate due on the anniversary of formation each year under 18 O.S. Section 2055.2 - the Secretary of State emails a reminder roughly 60 days ahead - and an LLC that fails to file within 60 days after the due date ceases to be in good standing until it catches up. For-profit corporations, meanwhile, file no annual report with the Secretary of State at all, and the old backstop, the Oklahoma franchise tax, was repealed by HB 1039 effective tax year 2024. The practical result is that a compliant Oklahoma corporation’s main recurring obligation is simply keeping its registered agent current, while an LLC adds one small anniversary filing.
