Registered agent requirements in Tennessee

Every Tennessee corporation must continuously maintain a registered office and registered agent under Tenn. Code Ann. § 48-15-101, and LLCs formed under the Revised Tennessee Limited Liability Company Act carry the same obligation under § 48-249-109. The agent must be an individual Tennessee resident, or a domestic or authorized foreign entity, whose business office is identical with the registered office - and that office must be an actual street address in Tennessee, listed with its county and ZIP code on state filings.

Filings go to the Tennessee Secretary of State’s Business Services Division, and most documents can be submitted through the state’s Business Services Online portal with near-immediate processing. Tennessee’s fee structure is the state’s most distinctive trait: an LLC pays $50 per member in existence on the filing date for its Articles of Organization, with a $300 minimum and a $3,000 maximum, while a for-profit corporation files its charter for a flat $100. The per-member math repeats every year, because the LLC annual report is also $300 minimum with $50 added per member above six, again capped at $3,000. Corporate annual reports, by contrast, cost just $20, with an additional $20 due if the report is used to change the registered agent or office.

The annual report deadline follows your books rather than your anniversary: § 48-26-203 requires corporations (and the parallel LLC provision requires companies) to file on or before the first day of the fourth month after fiscal year end, which means April 1 for the calendar-year majority. Entities that ignore the report or fail to maintain a registered agent give the Secretary of State statutory grounds to begin administrative dissolution for domestic entities, or revocation of authority for foreign ones, and reinstatement means back reports, back fees, and a tax clearance.
