Registered agent requirements in Hawaii
Hawaii stands apart from the mainland in two ways: there is no Secretary of State (the Business Registration Division of the Department of Commerce and Consumer Affairs handles all entity filings), and the registered agent rules live in their own standalone statute. Hawaii adopted the Model Registered Agents Act as HRS Chapter 425R, and Haw. Rev. Stat. § 425R-4 governs how every represented entity - corporation under Chapter 414, LLC under Chapter 428, or partnership - appoints its agent. The statute recognizes two flavors of agent: a noncommercial registered agent (any individual or company with a Hawaii street address willing to accept service) and a commercial registered agent that files a formal listing statement under § 425R-5 because it represents entities in volume.
Formation in the islands is refreshingly cheap. Articles of Organization for an LLC (Form LLC-1) and Articles of Incorporation each carry a $50 fee plus a $1 State Archives charge, filed by mail, in person at 335 Merchant Street in Honolulu, or electronically through the Hawaii Business Express portal at hbe.ehawaii.gov (BREG began rolling out a successor online portal in July 2026). Routine review takes about 3 to 5 business days, and $25 buys expedited handling in roughly 1 to 3.
Annual reports follow a quarterly rhythm unique to Hawaii: rather than a single statewide deadline, each entity files during the calendar quarter that contains its original registration anniversary, so reports come due March 31, June 30, September 30, or December 31. The fee is a modest $12.50 online or $15 on paper for LLCs and profit corporations. Letting reports lapse puts the entity on the path to administrative dissolution or, for out-of-state companies, revocation of authority - and because the agent’s address is where BREG sends its notices, entities with a stale agent often never see the warning.
An island-based agent matters most for owners who live elsewhere. Through FreeRegisteredAgent.com, InCorp supplies a Hawaii registered agent with a Honolulu-area street address free for your first year, then $129 per year, including monitoring for that quarter-specific report deadline.
Hawaii registered agent FAQ
- Does Hawaii have a Secretary of State for business filings?
- No. Hawaii is one of the few states with no Secretary of State. Business filings are handled by the Business Registration Division (BREG) of the Department of Commerce and Consumer Affairs in Honolulu.
- Can I serve as my own registered agent in Hawaii?
- Yes. Under Haw. Rev. Stat. ch. 425R, a noncommercial registered agent can be any individual or entity with a Hawaii street address, including yourself. Companies that represent many entities register as commercial registered agents under § 425R-5.
- When is my Hawaii annual report due?
- It depends on when you registered. Hawaii assigns each entity to the calendar quarter containing its registration anniversary, so the report is due by March 31, June 30, September 30, or December 31, and costs $12.50 filed online.
- How much does a registered agent service cost in Hawaii?
- Hawaii agent services typically charge $100 to $300 per year, a real consideration for mainland owners who need an in-state address. FreeRegisteredAgent.com provides the first year of Hawaii registered agent service free through InCorp, then $129 per year.
