Pennsylvania is the odd state out in registered agent law: Title 15 of the Pennsylvania Consolidated Statutes requires every corporation and LLC to maintain not an agent but a registered office - a physical Commonwealth address where process can be served (15 Pa.C.S. Sections 1507 and 8825). The functional equivalent of hiring a registered agent is Section 109, which lets an entity list the name of a Commercial Registered Office Provider, or CROP, in lieu of a street address. A CROP is a registered-agent company that has filed its own statement with the Department of State; naming one requires an actual contract with the provider, and listing a CROP without authorization carries statutory liability. Service delivered to the registered office, or to the CROP, is service on the company.
Filings go to the Department of State’s Bureau of Corporations and Charitable Organizations, almost entirely through the online Business Filing Services portal. Formation costs $125 for either a Certificate of Organization or Articles of Incorporation, fixed by the statutory fee schedule at 15 Pa.C.S. Section 153. The same section prices Pennsylvania’s unusually steep expedite ladder: $100 for same-day processing of documents received by 10 a.m., $300 for three-hour processing by 2 p.m., and $1,000 for one-hour processing by 4 p.m.
The compliance story changed fundamentally in 2025. Act 122 of 2022 scrapped the old decennial report and imposed a true annual report under new Section 146: corporations file before July 1, LLCs before October 1, and all other associations by December 31 each year, starting the calendar year after formation. The fee is a nominal $7 (nonprofits file free), and the report states the registered office or CROP, at least one governor, principal officers, and the principal office address. The teeth arrive on a delay - beginning with reports due in 2027, failure to file opens the door to administrative dissolution or termination, with a modest $15 catch-up fee per missed report on reinstatement.
