Registered agent requirements in Virginia
Virginia entrusts business filings to the State Corporation Commission, a constitutional body with its own Clerk’s Office, rather than the Secretary of the Commonwealth. Every Virginia stock corporation must continuously maintain a registered office and registered agent under Va. Code Ann. § 13.1-634, with the parallel LLC requirement at § 13.1-1015. Virginia then narrows the field of eligible agents more than almost any other state: an individual must be a Virginia resident who is either an officer or director of the corporation (or a member or manager of the LLC) or a member of the Virginia State Bar. Anyone else is out unless the agent is itself a business entity authorized to transact business in Virginia - which is precisely the niche professional registered agent companies fill. The registered office must be a Virginia street address where the agent maintains a business office.
Formation and maintenance run through the SCC’s Clerk’s Information System (CIS), which handles most filings online in real time. An LLC files Articles of Organization for a flat $100. Corporations pay by capitalization: a $25 filing fee plus a charter fee of $50 for each 25,000 authorized shares or fraction under § 13.1-615.1, so a typical small corporation pays $75 while heavy authorizations top out at a $2,500 charter fee.
Virginia’s distinctive ongoing obligation is the annual registration fee system. Instead of a paid annual report, the SCC assesses a yearly registration fee - $50 for LLCs, and $100 for stock corporations with up to 5,000 authorized shares, scaling by $30 per additional 5,000-share block to a $1,700 ceiling - due by the last day of the entity’s anniversary month. Stock corporations also file a no-fee annual report updating directors and officers on the same schedule; LLCs file nothing beyond the payment. Miss the fee and penalties attach, and continued nonpayment ends in automatic cancellation of an LLC’s existence or termination of corporate existence, with reinstatement fees to climb back.
