Kansas is resident agent country - the statutes use that older term rather than “registered agent,” and the requirement sits in the Business Entity Standard Treatment (BEST) Act rather than in each entity’s own code. K.S.A. 17-7925 directs that “every covered entity shall have and maintain in this state a resident agent,” alongside the registered office mandate of K.S.A. 17-7924, sweeping corporations, LLCs, LPs, and LLPs under one uniform rule. The agent may be an individual resident, the entity itself acting through its Kansas principal office, or another domestic or authorized foreign entity. Kansas’s General Corporation Code, closely modeled on Delaware’s, and its Delaware-style Revised LLC Act both defer to these BEST Act provisions.

Filing costs dropped in 2026, when the Secretary of State pushed through fee reductions that aligned LLC formation with the corporation rate: Articles of Organization and Articles of Incorporation each now run $85 online or $90 on paper. Filings can be submitted through the Secretary of State’s online business services or mailed to the Memorial Hall offices in Topeka, with online submissions processing fastest.

Kansas also abandoned the annual report. In its place, every business files a biennial information report - due by April 15 for for-profits (June 15 for nonprofits), in years matching the parity of the formation year, so an entity formed in an even year reports each succeeding even year. The fee is $90 online or $110 by paper. The state builds in an unusually explicit safety net: a 3-month delinquency period follows the due date, after which the entity forfeits its authority and is locked out of making any filing until it submits the overdue reports and reinstates. Forfeiture notices go to the resident agent, which is precisely why a defunct or inattentive agent is the most dangerous compliance gap a Kansas company can have.
