Registered agent requirements in Minnesota
Minnesota takes a slightly different approach to registered agents than most states, and the difference matters when you read the forms. Under Minn. Stat. § 5.36, every business entity must continuously maintain a registered office in Minnesota - a physical in-state address, not a P.O. box alone - but the statutes governing individual entity types make the agent itself optional for domestic companies. Minn. Stat. § 302A.121 provides that a business corporation shall have a registered office and may have a registered agent at that office, and Minn. Stat. § 322C.0113 mirrors that rule for limited liability companies. In practice, appointing an agent is the sensible move: the registered office exists so that service of process, tax notices, and Secretary of State correspondence reach a responsible person, and a commercial registered agent guarantees someone is actually there during business hours to receive them.
Filings go through the Minnesota Secretary of State, which operates one of the more filer-friendly systems in the country.
